Affiliate Program Terms and Agreements

Affiliate Agreement

We reserve the right to refuse any site or to revoke your ID without notice should we deem the site unsuitable for our products. This includes sites that sell "adult", racist or other similarly objectionable material or if you engage in any activities involving spam email. Your user name and password will be subject to deletion at any time, without warning.

Commissions

You will receive 20% of the sale revenue as a commission from orders placed through your Affiliate Site. For the sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product ordered.

Payment

Cheques for commissions will be sent on or about the last day of the month for the previous month's commissions on orders that have completed the payment process. If any order that generated a referral fee is returned by the customer, or if there are any returned cheques or charge-backs, the amount will be deducted from the next monthly payment. If there is no subsequent payment, the Affiliate will be invoiced for that amount. A statement will accompany each cheque with the details of the sales and commissions. Payments will be made to the Affiliate in the currency selected by them during the sign-up process. Sales made from click-thrus that occur in alternate currencies will be adjusted according to the exchange rate on the day of settlement. These adjustments will be reflected in the account summary that accompanies your payment.

Orders

Affiliates do not handle any of the order processing.

Customers

Customers who purchase products and services through the Affiliate Program will be deemed to be customers of The 24 Hour Secretary and all The 24 Hour Secretary policies and guarantees concerning customer orders and service will apply to those customers. Policies and operating procedures may change at any time and affiliates will be notified by email of these changes. Prices and availability of products and services may vary from time to time.

Qualifying Sites

We reserve the right not to accept any site into the Affiliate Program based on site content. Sites that Do Not Qualify for the Affiliate Program include sites which:

   * promote sexually explicit materials

   * promote violence

   * promote discrimination based on race, sex, religion,
      nationality,
      disability, sexual orientation, or age

   * promote illegal activities

   * violate intellectual property rights

All affiliate applications need to be approved by The 24 Hour Secretary before being activated into the program. The evaluation takes 24-48 hours and a qualifying email will follow with the notice of acceptance or refusal. All affiliate sites will be randomly and periodically reviewed to ensure compliance of these terms.

Unsolicited Commercial Email or SPAM

The 24 Hour Secretary does not participate in mass unsolicited emailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the Affiliate Program, with no refund.

Relationship of Parties

You and the company of The 24 Hour Secretary are independent enterprises, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that would reasonably contradict this statement.

Limitation of Liability

The 24 Hour Secretary will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, the aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under to this Agreement.

Disclaimers

The 24 Hour Secretary makes no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the Affiliate Program. In addition, The 24 Hour Secretary makes no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and The 24 Hour Secretary will not be liable for the consequences of any interruptions or errors.

By submitting the Affiliate Order form, you acknowledge that you have read this agreement and agree to all its terms and conditions.

You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
